Item 1.01. Entry into a Material Definitive Agreement.

On September 7, 2010, PECO Energy Company (PECO) entered into Amendment No. 2 (Amendment) to the Amended and Restated Trade Receivables Purchase and Sale Agreement among PECO, Victory Receivables Corporation and The Bank of Tokyo-Mitsubishi UFJ, Ltd pursuant to which the Agreement was extended until September 6, 2011.

A copy of the Amendment is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated by reference herein.
