Item 1.01 Entry into a Material Definitive Agreement.
On August 18, 2010 (the “Effective Date”), Omni Bio Operating, Inc. (“Omni Bio”), a wholly-owned subsidiary of Omni Bio Pharmaceutical, Inc. (“Omni”) and the Regents of the University of Colorado (the “Regents”), a body corporate, contracting for and on behalf of the University of Colorado Denver (the “University”), entered into a Sponsored Research Agreement (“SRA”) whereby the University will perform studies “in vitro” and “in vivo” to determine the biological activity of Alpha-1 antitrypsin as an inhibitor of influenza. This SRA is being executed pursuant to an Exclusive License Agreement between Omni Bio and the Regents in the field of use for the treatment of viral infections.
The SRA will terminate on August 17, 2012 unless extended or renewed in writing by both Omni Bio and the Regents, or otherwise terminated prior to August 17, 2012 in accordance with the terms of the SRA. Omni Bio is obligated to make payments to the University of approximately $440,000 over a two-year period, with the first payment of approximately $55,000 due on the Effective Date and subsequent payments of approximately $55,000 due upon receipt of invoices from the University issued quarterly commencing on November 18, 2010.
All rights to intellectual property developed in connection with the SRA (the “Intellectual Property”) will belong to the University and the University will have the right to obtain patent protections on such Intellectual Property. In accordance with the terms of the SRA, the University grants to Omni Bio an option to acquire an exclusive, worldwide, royalty-bearing license of any of the Intellectual Property, subject to certain conditions and exceptions.
