Item 8.01  Other Events.

On August 18, 2010, ATC Technology Corporation, a Delaware corporation (“ATC”), issued a press release announcing the end of the “go-shop” period under the Agreement and Plan of Merger, dated as of July 18, 2010, by and among ATC, GENCO Distribution System, Inc. (“GENCO”), a Pennsylvania corporation, and Transformers Merger Sub, Inc., a Delaware corporation.  A copy of the press release is being furnished pursuant to Item 8.01 of Form 8-K, and is incorporated herein by reference.
