Preliminary Note:
On October 4, 2006, Great Lakes Dredge & Dock Corporation (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”). Attached as Exhibit 10.1 to the Original Form 8-K was a copy of the Company’s International Letter of Credit Agreement (the “Agreement”), dated September 29, 2006, by and among the Company and Wells Fargo HSBC Trade Bank. The schedules and exhibits to the Agreement were inadvertently not included with the Agreement, as filed with the Original Form 8-K. A complete, executed copy of the Agreement, including all schedules and exhibits, is being filed as Exhibit 10.1 to this Current Report on Form 8-K/A (the “Amendment”).
The Company is filing the Amendment for the sole purpose of adding the schedules and exhibits to the Agreement. In all other respects, the Original Form 8-K remains the same. The information previously reported in the Original Form 8-K is hereby incorporated by reference into the Amendment except to the extent such information is amended by this Amendment.
