Item 2.02. Results of Operations and Financial Condition
On August 11, 2010, Computer Sciences Corporation (the “Company”) issued a press release reporting its preliminary financial results for the fiscal quarter ended July 2, 2010. In addition, at 11:00 AM, Eastern Time, on August 11, 2010, the Company will hold a teleconference to discuss the Company’s first quarter results, which will include a slide presentation accessible on the Company’s website at http://www.csc.com under “Investor Relations.” The press release is attached hereto as Exhibit 99.1.

On August 9, 2010, the Company’s Board of Directors declared a dividend of $0.15 per share for the quarter ended July 2, 2010, payable on October 15, 2010 to the holders of record of the Company’s common stock as of the close of business on September 9, 2010.
