Item 2.02. Results of Operations and Financial Condition.

     On July 29, 2010 Cardiac Science Corporation issued its earnings release announcing its financial results for the three and six months ended June 30, 2010. A copy of the earnings release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
