EXPLANATORY NOTE

This Amendment No. 1 on Form 8-K/A (the “Amendment”) amends and restates the Current Report of Tennessee Commerce Bancorp, Inc. on Form 8-K as filed with the Securities and Exchange Commission on July 27, 2010 (the “Original Filing”) to correct a typographical error on page 7 of the press release filed as Exhibit 99.1 therewith with respect to the Return on Average Common Equity for the quarter ended June 30, 2010. Except for the correction of this typographical error, the Amendment does not update, modify or amend the Original Filing and all other information included in the Original Filing remains unchanged.

Item 2.02.  Results of Operations and Financial Condition.

On July 27, 2010, Tennessee Commerce Bancorp, Inc. issued a press release announcing its financial results for the quarter ended June 30, 2010. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in its entirety.
