Item 2.03.   Unregistered Sale of Equity Securities

On July 2, 2010 iMedicor, Inc., a Nevada corporation formerly known as Vemics, Inc. (the “Company”), sold, in a private placement made in reliance upon the exemption from registration afforded by Section 4(2) of the Securities Act of 1933, as amended (the “Securities Act”), to certain accredited investors (the “Investors”) a series of  subscription agreements (the “Subscription Agreements”) with accredited investors (the “Investors”), pursuant to subscription agreements an aggregate of  2,400,000  shares of the Company’s common stock, par value $0.001 per share (the “Common Stock”), and warrants (the “Warrants”) to purchase 2,400,000  shares of  Common Stock, at an exercise price of $0.03 per share.  The purchase price was $0.05 for one share of common stock and one warrant to purchase one share of common stock or a total aggregate investment by the Investors of $120,000.
 
The Warrants are exercisable between July 2, the execution dates of the Subscription Agreements, and July 2, 2015, the expiration date of the warrants.
 
The Company issued and sold the Common Stock and Warrants to in private placement transaction made in reliance upon the exemption from securities registration afforded by Section 4(2) of the Securities Act of 1933, as amended (the “Securities Act”) and Regulation D, Rule 506 thereunder.  The Investors are  “accredited investors” as defined in Rule 501 of Regulation D under the Securities Act.

The foregoing descriptions of the Subscription Agreement and the Warrants do not purport to be complete and are qualified in their entirety by the full texts of the Form of Subscription Agreement and Form of Warrant filed as Exhibits 4.1 and 4.2 hereto, and each such exhibit is incorporated herein by reference.

Additionally, Pursuant to a Stock Distribution and Release Agreement dated July 1, 2010 among the Company and members of Ravine Valley Partners, LLC (the “Ravine Partners”) the Company issued 10,000,000 shares of the Company’s Common Stock to the Ravine Partners, who’s subscription agreement dated July 29, 2008 contained certain anti-dilution provisions.  The 10,000,000 shares were issued as a settlement of a dispute with regard to anti-dilution provisions contained in the original subscription agreement.
