Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c) On July 7, 2010, H&R Block, Inc.’s (the “Company”) Board of Directors elected Alan M. Bennett, 59, President and Chief Executive Officer of the Company. Mr. Bennett will continue to serve on the Company's Board of Directors, but will no longer be a member of the Audit Committee. Mr. Bennett previously served as the Company’s interim Chief Executive Officer from November 2007 until August 2008. Mr. Bennett served as Senior Vice President and Chief Financial Officer of Aetna, Inc. (a leading provider of health, dental, group life, disability and long-term care benefits) from 2001 until 2007. A copy of the Company’s press release regarding Mr. Bennett’s election as President and Chief Executive Officer of the Company is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
