On June 21, 2010, Valeant Pharmaceuticals International (“Valeant”) and Biovail Corporation
(“Biovail”) issued a joint press release announcing the execution of the Agreement and Plan of
Merger, dated as of June 20, 2010, among Valeant, Biovail, Biovail Americas Corp. and Beach Merger
Corp. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by
reference.
