Item 2.02  Results of Operations and Financial Condition.

On June 1, 2010, Remedent, Inc. (the “Company”)  issued a press release announcing increased veneer sales during April 2010.

A copy of the press release is attached hereto as Exhibit 99.1 and  incorporated herein by reference.

Item 7.01.  Regulation FD Disclosure

On June 1, 2010, the Company issued a press release announcing increased veneer sales during April 2010.  Company also announced its continuing expansion in the Asian market with the opening of dental spa in Taipei, Taiwan in May 2010.

A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
