| Item 1.01 | Entry Into a Material Definitive Agreement. |
On May 28, 2010, the Compensation Committee of the Board of Directors of Cross Country Healthcare, Inc. (the “Company”), approved the Company’s Amended and Restated Executive Severance Plan (the “Plan”). The purpose of the Plan is to enable the Company to offer certain protections to senior executives if their employment is terminated in connection with a Change of Control (as defined in the Plan). The description of the Plan is qualified in its entirety by reference to the full text of the Plan, which is filed as Exhibit 10.1 hereto.
