Item 1.01. Entry into a Material Definitive Agreement.
On April 28, 2010, Pinnacle Entertainment, Inc. (the “Company”) entered into a First Amendment to the Third Amended and Restated Credit Agreement with Barclays Bank PLC, as the administrative agent and the lenders party thereto (the “First Amendment”), which amends the Company’s Third Amended and Restated Credit Agreement dated as of February 5, 2010. Pursuant to the terms of the First Amendment, the Company reduced the minimum amount of non-debt capital that it must raise from $100 million to $40 million before spending more than $25 million on its Baton Rouge project. In addition, the First Amendment permits the Company to dispose of its assets for the Company’s Sugarcane Bay project, which the Company has cancelled.
