Item 5.02. Departure of
Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
Effective
April 21, 2010, the Board of Directors of Allis-Chalmers Energy Inc. (the
“Company”) appointed Carlos Etcheverry President of its Drilling and Completion
segment.
Mr.
Etcheverry joins the Company with over 20 years experience in the drilling and
oilfield services industry. Most recently, he served as Chief Operating Officer
of San Antonio International. Mr. Etcheverry previously held a number
of management roles with Pride International, Inc.’s (“Pride”) E&P Services
group including business development, general manager for Argentina and Bolivia,
Vice President Latin America South, and President of San Antonio when that
company was owned by Pride. Mr Etcheverry also worked for over 10
years with Halliburton Company with a focus on Latin America.
There are
no arrangements or understandings between Mr. Etcheverry and the Company or any
other persons pursuant to which Mr. Etcheverry was selected as an
officer. There are no relationships or related transactions between
Mr.Etcheverry and the Company of the type required to be disclosed pursuant to
Item 404(a) of Regulation S-K.
The
Company expects to enter into an employment agreement with Mr. Etcheverry, to be effective as of April 21,
2010. The Company will file a Current Report on Form 8-K describing
the material terms of such agreement if and when such agreement is
consummated.

On April
26, 2010, the Company issued a press release announcing the appointment of
Carlos Etcheverry. A copy of the press release is furnished as
