On December 7, 2009, Cellco Partnership (the “Company”) and Vodafone Americas Inc. (“Vodafone”) entered into a third amendment (the “Amendment”) to that certain Secondment Agreement, dated as of January 13, 2005, between Vodafone and the Company pursuant to which John Townsend was seconded to the Company as its Vice President and Chief Financial Officer. The Amendment extends the term of the secondment period for Mr. Townsend to March 31, 2011. The Amendment is filed with this report as Exhibit 10.1 and its contents are incorporated herein by reference.
