Item 8.01. Other Events

Effective the first full payroll commencing in July 2010, for non-bargaining unit employees, the employer matching component relating to the GenCorp Inc. (the “Company”) 401(k) retirement savings plan (the “401(k) Plan”) will be reinstated.  The Company has historically matched in the form of Company stock, employee contributions dollar-for-dollar up to the first 3% of an employee’s contributions and 50 cents per dollar for the next 3% of an employee’s contributions, subject to all federal tax rules applicable for 401(k) plans.  The Company will contribute the reinstated match in cash.  The cost of the 401(k) Plan match for the remainder of fiscal 2010 related to this reinstatement is approximately $5 million.
