Holders.

Hurco Companies, Inc. held its annual
meeting of shareholders on March 18, 2010. The election of nine
directors to the Board of Directors and a proposal to ratify the appointment of
Ernst & Young LLP as the independent registered public accounting firm were
the only matters submitted to a vote. The following table sets
