Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 6, Jean Carlo Nardi resigned as Chief Executive Officer and Chief Financial Officer, and Gianfranco Gracchi was appointed Chief Executive Officer and Chief Financial Officer.  Mr. Nardi remains Chairman of the Board and Mr. Gracchi remains President.
