Item 8.01. Other Events.
     On March 4, 2010, The Goodyear Tire & Rubber Company (the “Company”) announced the results of its offer to exchange any and all of its outstanding 7.857% Notes due 2011 (the “Old Notes”) for a new series of 8.75% Notes due 2020 (the “New Notes”) and a solicitation of consents to amend the terms of the indenture that governs the Old Notes. A copy of the news release issued by the Company announcing the results of the exchange offer and consent solicitation is filed as Exhibit 99.1 to this Current Report on Form 8-K.
