Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On February 24, 2010, the ViroPharma Incorporated (the “Company”) filed a certificate of change to its certificate of incorporation to change the Company’s registered agent and registered office in Delaware. A copy of the certificate of change to the certificate of incorporation is filed as Exhibit 3.1 to this Current Report on Form 8-K.
