Item 2.02 Results of Operations and Financial Condition.

The following information is being provided pursuant to Item 2.02. Such information, including Exhibit 99.1 attached hereto, should not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended.

On March 1, 2010, The Providence Service Corporation (the “Company”) issued a press release containing certain preliminary unaudited financial information for the quarter and year ended December 31, 2009 and provided revenue and earnings guidance for 2010. As noted in the press release, the Company has provided a non-GAAP financial measure (estimated earnings per share excluding certain items), the reasons it provided such measure and a reconciliation of the non- GAAP measure to the most directly comparable GAAP measure. Readers should consider the non-GAAP measure in addition to, and not as a substitute for, the measure of financial performance prepared in accordance with GAAP. In this regard, GAAP refers to accounting principles generally accepted in the United States. A copy of the Company’s press release is being furnished hereto as Exhibit 99.1 and is incorporated herein by reference.
