ITEM 1.01. Entry into a Material Definitive Agreement.

On January 22, 2010, and made effective December 1, 2009, MarkWest Energy East Texas Gas Company, L.L.C., a wholly owned subsidiary of MarkWest Energy Partners, L.P. (the “Partnership”) and Targa Liquids Marketing and Trade (“Targa”) entered into an amendment of its raw product purchase agreement (the “Amendment”).  The Amendment, among other things, modifies the volume commitments to certain specified purchase quantities, and modifies the pricing provisions, all as agreed to by the parties.
