Item 2.02. Results of Operations and Financial Condition.

On February 17, 2010, P.F. Chang’s China Bistro, Inc. (the “Company”) issued a press release describing selected financial results of the Company for the quarter and year ended January 3, 2010. Also on February 17, 2010, the Company held its Fourth Quarter Earnings Conference Call. The press release and transcript of the Fourth Quarter Earnings Conference Call are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively, and, in addition to this Report on Form 8-K and pursuant to General Instruction B.2 of Form 8-K, are being furnished, not filed, for purposes of Section 18 of the Securities Exchange Act of 1934, as amended.

Item 8.01. Other Events.

On February 15, 2010, Company issued a press release announcing a development and license agreement with Global Restaurant Concepts, Inc., a leading casual dining operator in the Philippines, to develop eight restaurants over the next five years. A copy of the press release is attached hereto as Exhibit 99.3 and is incorporated herein by reference.
