On February 1, 2010, the Registrant issued a press release reporting earnings results for the fiscal quarter ended December 31, 2009.

(b) On December 16, 2009, Kim H. White resigned from the board of directors of Cornerstone Bancshares, Inc. (the “Company”). Ms. White’s resignation is not the result of a disagreement with the Company.
