Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


On June 5, 2009, Employers Mutual Casualty Company (Employers Mutual), the Registrant’s parent company, announced that Raymond W. Davis, Senior Vice President-Investments and Treasurer for Employers Mutual and the Registrant, planned to retire in 2010 after 30 years with the companies.  On January 19, 2010, Employers Mutual announced that Mr. Davis’ retirement date will be July 2, 2010.

Upon Mr. Davis’ retirement, Lisa A. Stange will become the companies’ chief investment officer.  Ms. Stange has over 20 years of investment experience, most recently with the Principal Financial Group.
