On January 12, 2010, Rainmaker Systems, Inc. (the “Company”) issued a press release in advance of its presentation at the Needham Growth Conference scheduled for January 13, 2009, providing a business update and updated revenue expectations for the three months ended December 31, 2009. The press release provides a business update for the fourth fiscal quarter of 2009 and for the 2010 fiscal year and announces the signing of a new client agreement. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
