On
December 11, 2009, Michael S. Gouloff, a Class III director (with a term
expiring in 2011) of Tower Financial Corporation and a director of its
subsidiary, Tower Bank, tendered his resignation as a director from both
boards, effective immediately. Mr. Gouloff cited both personal
and business time constraints and the reason for his
resignation. Mr. Gouloff was a member and chair of the
Compensation Committee of Tower Financial Corporation and a member of the
Loan and Investment Committee of Tower
Bank.
