  (b) Departure of Principal Officer

Effective as of December 5, 2009, Tracy R. Newton resigned as a director of Appalachian Bancshares, Inc. (the “Company”) and each of its wholly-owned subsidiaries, Appalachian Community Bank (the “Bank”), Appalachian Community Bank, FSB and Appalachian Real Estate Holdings, Inc. Mr. Newton also resigned from his position as President and Chief Executive Officer of the Company and the Bank.

The press release announcing Mr. Newton’s resignation is attached hereto as Exhibit 99.1.
