On November 9, 2009, Kraft Foods issued an announcement pursuant to Rule 2.5 of the U.K. City Code on Takeovers and Mergers disclosing our firm intention to make an offer to acquire each outstanding ordinary share of Cadbury plc. A copy of the announcement is attached as Exhibit 99.1 and is incorporated by reference into this Item 7.01.
Pursuant to General Instruction B.2. to Form 8-K, the information in this Item 7.01 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.

We also are filing updated risk factors, attached as Exhibit 99.2, relating to our business that have been prepared in connection with a preliminary proxy statement to be filed with the Securities and Exchange Commission. As disclosed in Part II—Item 1A of our 10-Q for the period ended September 30, 2009, we have not identified any material changes to the risk factors disclosed in our Form 10-K for the year ended December 31, 2008.
