On October 29, 2009, the Federal Home Loan Bank of San Francisco (the "Bank") issued a press release announcing its operating results for the third quarter ended September 30, 2009. A copy of the press release is included as Exhibit 99.1 to this report. Copies of the Bank's member communication regarding the Bank's operating results for the third quarter 2009 and a Q&A that discusses issues relating to the Bank's operating results for the third quarter 2009, including the other-than-temporary impairment charge taken by the Bank in the third quarter of 2009, are included as Exhibit 99.2 and 99.3 to this report, respectively. The information contained in Exhibits 99.1, 99.2 and 99.3 is being furnished pursuant to Item 2.02 of this Current Report on Form 8-K and shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), or otherwise subject to the liability of that section, and shall not be incorporated by reference into any registration statement or other document filed under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
Item 7.01. Regulation FD Disclosure.
To continue building retained earnings and preserve the Bank's capital, the Bank will not pay a dividend for the third quarter of 2009 and will not be repurchasing excess capital stock during the fourth quarter of 2009
