On October 16, 2009, Tekni-Plex Europe NV, a Belgian corporation and an indirect wholly-owned subsidiary of Tekni-Plex, Inc., acquired the business of Top-Seals Dichtungseinlagen GmbH. A copy of the U.S. press release of Tekni-Plex, Inc. announcing the acquisition is attached hereto as Exhibit 99.1.
